These Terms of Service ("Terms") govern your use of the services provided by Zoef Media ("we", "us", or "our"). By engaging our services, you agree to these Terms.

1. Services Provided

Zoef Media provides digital advertising campaign management services, including but not limited to:

  • Creation and management of advertising campaigns on Meta (Facebook/Instagram) platforms
  • Creation and management of advertising campaigns on Google Ads (Search, Display, Performance Max)
  • Campaign strategy development, audience targeting, and creative direction
  • Performance monitoring, optimization, and reporting
  • Creative asset preparation and resizing for advertising platforms

2. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete business information necessary for campaign setup
  • Grant appropriate access to your advertising accounts on Meta and Google platforms
  • Ensure that all creative assets, product claims, and business information comply with applicable laws and platform policies
  • Maintain valid payment methods for advertising spend on your platform accounts
  • Review and approve campaign strategies and budgets before launch
  • Respond to communications regarding campaign performance and required approvals in a timely manner

3. Advertising Spend

Advertising spend (the budget allocated to Meta and Google for serving ads) is separate from our management fees. You are responsible for all advertising costs incurred on your platform accounts. We will manage your budget according to agreed-upon parameters, but actual spend may vary based on platform auction dynamics and campaign performance.

4. Payment Terms

Service fees and payment terms will be agreed upon separately between you and Zoef Media prior to commencement of services. Payment is due as per the agreed schedule. Late payments may result in suspension of campaign management services.

5. Platform Compliance

We manage campaigns in compliance with Meta and Google advertising policies. However, platform policies change frequently and enforcement is at the discretion of each platform. We are not responsible for account suspensions, ad rejections, or policy changes by Meta or Google that may affect your campaigns.

6. Performance Disclaimers

While we strive to optimize campaign performance, we cannot guarantee specific results including impressions, clicks, conversions, or return on ad spend. Advertising performance depends on many factors including market conditions, competition, creative quality, landing page experience, and platform algorithm changes.

7. Limitation of Liability

To the maximum extent permitted by law, Zoef Media shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from or related to our services. Our total liability shall not exceed the total fees paid to us in the three months preceding the claim.

8. Intellectual Property

You retain ownership of all creative assets, brand materials, and business content provided to us. We retain ownership of our tools, processes, methodologies, and proprietary systems used to deliver our services.

9. Termination

Either party may terminate services with 14 days written notice. Upon termination, we will cease campaign management, provide final performance reports, and transfer or revoke platform access as appropriate. You remain responsible for any outstanding advertising spend and fees accrued prior to termination.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India.

11. Changes to Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated revision date. Continued use of our services after changes constitutes acceptance of the updated Terms.
